Terms of Service
Last updated: November 2026
These Terms of Service ("Terms") govern your use of argenttide.com and the purchase of services from Argent Tide LLC, a Wyoming limited liability company ("Argent Tide", "we", "us"). By using our website or purchasing services you agree to these Terms.
1. Services
We provide website development, digital marketing consulting, and cross-border logistics coordination services. The specific scope, deliverables, timeline, and fees for each engagement are set out in a written proposal, order form, or invoice (a "Statement of Work") that is incorporated into these Terms. If a Statement of Work conflicts with these Terms, the Statement of Work controls for that engagement.
2. Fees and payment
- Fees are quoted and charged in US dollars unless otherwise stated.
- Payments are processed by Stripe. By paying you authorize us and Stripe to charge the payment method you provide.
- Unless the Statement of Work says otherwise, project work requires a 50% deposit before work begins, with the balance due on delivery. Retainers are billed monthly in advance.
- Invoices are due within 7 days. Late balances may pause work.
- You are responsible for any taxes, duties, or bank charges applicable to your payment, other than taxes on our income.
3. Refunds and cancellation
- Before work starts. You may cancel for a full refund of any deposit if we have not yet begun work.
- After work starts. Deposits are non-refundable once work has begun. If you cancel mid-project, you will be billed for work completed to date at the agreed rate and refunded any prepaid amount above that.
- Monthly retainers. Cancel any time; cancellation takes effect at the end of the current billing month. No refunds for partial months.
- Third-party costs. Freight charges, carrier fees, domain or hosting fees, and other costs paid to third parties on your behalf are non-refundable once incurred.
- Refunds are issued to the original payment method within 10 business days of approval. To request a refund, email [email protected].
4. Logistics coordination
In logistics engagements we act as a coordinator between you and independent freight forwarders and carriers. We are not a carrier, customs broker, or freight forwarder, and we do not take custody of goods. Carriage is governed by the carrier's or forwarder's own terms. You are responsible for the accuracy of shipment information and for the legality of the goods shipped.
5. Client responsibilities
You agree to provide timely access, content, approvals, and information needed for the engagement, and you confirm that you own or have the right to use all materials you give us.
6. Intellectual property
Upon full payment, you own the final deliverables created specifically for you. We retain ownership of our pre-existing tools, templates, and know-how, and grant you a perpetual license to use them as part of the deliverables. Third-party components remain subject to their own licenses.
7. Confidentiality
Each party will keep the other's non-public business information confidential and use it only for the engagement.
8. Disclaimer and limitation of liability
Services are provided "as is" without warranties beyond those expressly stated in a Statement of Work. We do not guarantee specific business results such as search rankings, traffic, revenue, or delivery dates set by third-party carriers. To the fullest extent permitted by law, our total liability for any claim arising from an engagement is limited to the fees you paid us for that engagement in the twelve months before the claim, and we are not liable for indirect, incidental, or consequential damages.
9. Termination
Either party may terminate an engagement on written notice if the other materially breaches these Terms and does not cure within 14 days. Sections 2, 3, 6, 7, 8, and 10 survive termination.
10. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws rules. The parties will first try in good faith to resolve any dispute informally within 30 days. Disputes not so resolved will be brought in the state or federal courts located in Sheridan County, Wyoming, and each party consents to that jurisdiction.
11. Changes to these Terms
We may update these Terms by posting a new version on this page. Changes apply to engagements that begin after the posting date.
